Terms of Service

1. Acceptance of Terms

Song Audit Asset ("SAA," "the Service," "we," "us," or "our") is owned and operated by Open Gate Outlaw Records. By accessing, registering for, or using the Service in any form — web, API, embedded widget, or downloadable artifact — you agree to be legally bound by these Terms of Service ("Terms"). If you do not agree, you must immediately stop using the Service.

2. Eligibility & Use of the Service

You must be at least 13 years old (or the age of digital consent in your jurisdiction, whichever is higher) to use SAA. You may use the Service solely to evaluate, score, archive, and analyze song material that (a) you personally authored, (b) you own outright, or (c) you have explicit written permission from the rights holder to submit for analysis. You may not submit third-party copyrighted material, leaked recordings, unreleased label assets, or any audio you do not have the right to upload. You may not use SAA to scrape, reverse-engineer, retrain, or otherwise extract our scoring engine, prompts, weighting matrices, or model behavior.

3. Accounts & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized access. We may suspend or terminate accounts that violate these Terms, abuse the Service, or attempt to circumvent rate limits, audit credits, or paid tier gating.

4. Intellectual Property

All intellectual property in and to the Service — including the Sovereign Forensic Matrix, the 25-category audit framework, the 5-pillar weighting algorithm, the Radio-Hit Probability test, the Lyric Lariat, the Synthetic Lab classifier, the Contract Sovereignty engine, scoring rubrics, prompt scaffolds, the "Open Gate Outlaw," "SAA," and "Chief's Tone" marks, the interface design, copy, color systems, and accompanying documentation — is the exclusive property of Open Gate Outlaw Records and is protected by U.S. and international copyright, trademark, trade-secret, and patent-pending law. You are granted a limited, revocable, non-exclusive, non-transferable license to use the Service for personal or internal business evaluation only. You retain ownership of the underlying song content you submit, but grant us a worldwide, royalty-free, non-exclusive license to process, store, score, and display that content back to you (and to anonymized aggregates for internal quality improvement). You may not republish, resell, white-label, or build derivative scoring products from SAA output without a separate written license.

5. Disclaimer of Warranties on Ratings

All scores, pillar averages, radar charts, verdicts, "Apex" badges, Radio-Hit percentages, Contract Sovereignty grades, and forensic PDFs are subjective analytical opinionsproduced by a mixture of automated AI inference and proprietary heuristics. They do not constitute, and must not be relied upon as: a guarantee of commercial success, chart performance, playlist placement, label interest, sync placement, royalty outcomes, legal advice, financial advice, or A&R judgment. The Contract Scan output is a Sovereign Read, not legal advice — always consult a licensed music attorney before signing any agreement. The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, non-infringement, or uninterrupted availability.

6. Limitation of Liability

To the maximum extent permitted by law, Open Gate Outlaw Records, its officers, founders, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost revenue, lost royalties, lost label deals, lost sync opportunities, loss of goodwill, data loss, or business interruption — arising from or related to your use of the Service, even if advised of the possibility of such damages. Our aggregate liability for any claim arising out of these Terms or your use of the Service shall not exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months preceding the claim, or (b) USD $100.

7. Indemnification

You agree to indemnify, defend, and hold harmless Open Gate Outlaw Records and its affiliates from any claim, loss, or demand (including reasonable attorneys' fees) arising out of (a) content you submit to the Service, (b) your violation of these Terms, (c) your violation of any third-party right (including copyright or publishing rights), or (d) your misuse of any score, verdict, or report produced by SAA.

8. AI-Generated & Synthetic Content

SAA includes detection and classification systems for AI-generated and synthetic music. You agree not to submit material designed to deceive these systems, not to use SAA output to misrepresent the origin of a work, and not to use "Verified Human" or "Sovereign Apex" designations in any marketing without first completing the Service's verification flow.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any conduct that we reasonably believe violates these Terms or harms other users, third parties, or our business. Upon termination, your right to use the Service ceases immediately; sections 4–7, 10, and 11 survive.

10. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered under the JAMS Streamlined Arbitration Rules, seated in Austin, Texas. You waive any right to participate in a class action or class-wide arbitration against us.

11. Changes

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the new Terms.
